By accessing or using the OpenSeed platform, you agree to be bound by these Terms of Use and all applicable laws and regulations.
2. Platform Role
OpenSeed is a technology platform that facilitates milestone-based funding. We do not provide investment advice and are not responsible for the success or failure of any startup listed on the platform.
3. User Obligations
You agree to provide accurate information when creating an account and to comply with all applicable laws when using the platform. You are responsible for actions taken using your account.
4. Account Security
Keep your account credentials secure. Notify us promptly if you suspect unauthorized access. We are not responsible for losses resulting from compromised credentials where you fail to take reasonable security precautions.
5. Payments & Fees
Transactions on the platform may involve third-party payment processors or blockchain networks and may be subject to fees and network costs imposed by those third parties. OpenSeed may also charge fees for certain services; specific fee terms will be disclosed where applicable.
6. Intellectual Property
The OpenSeed platform and its contents are protected by intellectual property laws. You may not reproduce or use our trademarks, logos, or content without our permission.
7. Disclaimers; No Warranty
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OPENSEED DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER OPENSEED NOR ITS AFFILIATES SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF THE PLATFORM. OUR AGGREGATE LIABILITY FOR DIRECT DAMAGES SHALL BE LIMITED TO THE AMOUNT PAID BY YOU, IF ANY, IN THE PRIOR TWELVE MONTHS.
9. Termination
We may suspend or terminate access to the platform for users who violate these Terms or for operational reasons. Termination does not relieve you of obligations incurred prior to termination.
10. Governing Law
These Terms are governed by the laws applicable to the jurisdiction where OpenSeed is organized, subject to mandatory local law where applicable.
